Cravath represented the initial purchasers in connection with the $1.4 billion and €850 million Rule 144A/Reg. S high yield senior secured notes offering of Albion Financing 1 S.à r.l and Aggreko Holdings Inc., subsidiaries of Albion Holdco Limited (“Aggreko”), for the purpose of repaying all of Aggreko’s outstanding senior secured notes and senior notes, paying a dividend and repaying certain preference shares. The offering closed on May 21, 2025.

Cravath represented the underwriters in connection with the $559 million registered secondary offering of class A common stock of Hess Midstream LP, a fee‑based, growth‑oriented, limited partnership formed by Hess Midstream GP LP and Hess Infrastructure Partners GP LLC to own, operate, develop and acquire a diverse set of midstream assets and provide fee‑based services to Hess Corporation and third‑party customers. The transaction closed on May 30, 2025.

Cravath represented TenneT Holding B.V., as U.S. counsel, in connection with its consent solicitation for €16.2 billion senior EMTN notes. TenneT Holding B.V. is the top holding company of the TenneT Group, a leading European grid operator and transmission system operator for the Netherlands and a large part of Germany. The transaction expired on May 13, 2025.

On June 10, 2025, Cravath partner Michael L. Arnold participated in “ESG 2025: What It Means for Boards, Management, and Counsel,” a program presented by the Practising Law Institute in New York. The program hosted a number of experts, including company management and in‑house and outside counsel, to review recent trends in the sustainability landscape and best practices for governance. Michael spoke on a panel entitled “Board Oversight of ESG,” which reviewed ESG developments and changes over the past year in board‑level oversight of ESG and gave advice to boards of directors in fulfilling their duties while navigating the ESG landscape.

Cravath represented Northrop Grumman Corporation in connection with its $1 billion registered senior notes offering. Northrop Grumman Corporation is a leading global aerospace and defense technology company. The transaction closed on May 29, 2025.

On June 11, 2025, Cravath prepared a memo for its clients entitled “SEC Solicits Public Comment on the Eligibility Criteria for Foreign Private Issuer Status.” The memo examines a concept release recently published by the U.S. Securities and Exchange Commission to seek public comment on whether to revise the “foreign private issuer” definition in light of shifting trends in the characteristics of the FPI population.

Cravath represented the underwriters in connection with the $1.25 billion registered senior notes offering of Westinghouse Air Brake Technologies Corporation (“Wabtec”), one of the world’s largest providers of value‑added, technology‑based locomotives, equipment, systems and services for the global freight rail and passenger transit industries, and also serves customers in the mining, marine and industrial markets. Proceeds of the offering will be used to partially finance Wabtec’s acquisition of Evident Corporation’s Inspection Technologies division. The transaction closed on May 29, 2025.

On June 4, 2025, Cravath partner and former Commissioner and Acting Chairman of the U.S. Securities and Exchange Commission Elad Roisman testified before the United States House Financial Services Committee. The hearing entitled “American Innovation and the Future of Digital Assets: From Blueprint to a Functional Framework” examined the Digital Asset Market Clarity Act of 2025, which sets forth a proposed digital asset market structure framework.

Cravath partner Gary A. Bornstein was named to The Hollywood Reporter’s “New York Power Lawyers” list, which recognizes New York’s top entertainment lawyers, selected based on “the impact of their cases, the profiles of their clients and their reputation for success,” and was published in the June 4, 2025 issue of The Hollywood Reporter Magazine. The feature highlighted Gary’s representation of Epic Games in its successful antitrust litigation against Google, requiring Google to distribute alternative app stores on the Google Play Store, and against Apple, securing a permanent injunction against Apple’s anti‑steering policies for in‑app payments.

On June 10, 2025, Cravath partner Nicole M. Argentieri participated in the American Conference Institute’s 23rd New York Forum on Global Anti‑Corruption, Ethics & Compliance, which was held from June 10‑11 in New York. The forum convened compliance leaders and experts from law firms, government and the private sector to discuss new insights, best practices and practical strategies on compliance risks and regulatory enforcement. Nicole spoke on a panel entitled “Current and Former DOJ and SEC Officials Unpack New White‑Collar Enforcement Priorities and Policies and What They Mean for Compliance and Internal Investigations Professionals,” during which panelists discussed the evolving landscape of enforcement and new priorities at the DOJ and SEC, as well as practical takeaways for updating risk management, internal investigations and compliance strategies.

Alex Raskolnikov is a Wilbur H. Friedman Professor of Tax Law and a co‑chair of the Charles Evans Gerber Transactional Studies Center at Columbia Law School. On June 6, 2025, Cravath partner Timothy G. Cameron participated in London International Disputes Week 2025, which was held in London and brought together leaders from across the dispute resolution world to discuss the most topical issues of the moment. Tim spoke on a panel hosted by Travers Smith entitled “The Future of Mass Claims in the UK and Abroad: Evolution or Revolution,” which reviewed important developments in the UK mass claims landscape and their potential consequences, as well as how the UK mass claims landscape compares to trends emerging in Europe and the U.S.

On June 5, 2025, Cravath partner Andrew T. Davis participated in the 2025 Texas Federal Tax Institute, which was held from June 4‑6 in San Antonio, Texas. The event brought together leading corporate, partnership and real estate tax professionals from across the United States to discuss cutting‑edge issues facing tax practitioners. Andrew spoke on a panel entitled “Buying and Selling S Corps,” which reviewed the tax considerations involved in acquiring and selling S corporations for both buyers and sellers, including assuring a buyer step up, minimizing concerns over a busted S election and maximizing capital gain to the seller.

Cravath represented the underwriters in connection with the €1 billion registered senior notes offering of Cencora, Inc., a leading global pharmaceutical solutions organization centered on improving the lives of people and animals around the world. The transaction closed on May 22, 2025.

Cravath partner Elad Roisman was featured as a guest on PwC’s accounting podcast, entitled “Today’s SEC Landscape.” In the episode, which is part of the accounting podcast’s “Inside SEC Reporting” video miniseries examining the evolving SEC landscape and key reporting areas, Elad joined senior leaders from PwC to discuss what the SEC has done this year, key changes affecting companies and market participants, and offered insights into what these changes mean for companies going forward. 

On June 5, 2025, Cravath partner Ting S. Chen participated in the International Bar Association’s 22nd Annual International Mergers & Acquisitions Conference, which was held from June 4‑5, 2025, in New York. The event convened global practitioners to discuss topics in international M&A law such as geopolitics, competition policy and M&A; private equity dealmaking; and governance, stewardship and activism. Ting spoke on a panel entitled “Developments in Public Company M&A and Securities Law,” which examined the evolving landscape of public M&A around the world.

On June 4, 2025, Flowserve Corporation (“Flowserve”) and Chart Industries, Inc. (“Chart”) announced that they have entered into a definitive agreement to combine in an all-stock merger of equals, creating a differentiated leader in industrial process technologies. The combined company is expected to have an enterprise value of approximately $19 billion based on the exchange ratio and the closing share prices for Flowserve and Chart as of June 3, 2025. Under the agreement, which has been unanimously approved by the board of directors of each company, at the closing of the transaction Chart shareholders will receive 3.165 shares of Flowserve common stock for each share of Chart common stock owned. Following the close of the transaction, Flowserve shareholders will own approximately 46.5% and Chart shareholders will own approximately 53.5% of the combined company, on a fully diluted basis. Cravath is representing Flowserve in connection with the transaction.
